Change of Registered Office Address – Easy Guide for Companies
Every company registered in India must have a registered office address. This is the company’s main place of business where all official letters and notices from the government, especially the Registrar of Companies (ROC), are sent. If for any reason a business wants to change this location, whether it’s within the same city, a different city in the same state, or even in another state, a Change of Registered Office Address must be reported to the ROC.
When a company shifts its registered office, it must file a notice with the Ministry of Corporate Affairs (MCA) within 30 days of the move.
· Within the same city: A simple notice is enough.
· To another city in the same state: The company must pass a special resolution and file it.
· To another state: This process takes more steps. The company must:
- Publish a notice in newspapers,
- Inform the State Government and get a No Objection Certificate (NOC),
- Complete all ROC formalities under the Companies Act.
The registered office address is crucial because it’s where all legal and official communication is sent. So, keeping it updated with ROC is a legal requirement.
